Terms of Service

These Terms of Service ("Terms") govern your access to and use of RegSeek, including our website, early access programme, platform features, paid services, communications, support, payments, invoices, payout-related functions, and related services (collectively, the "Services").

RegSeek is operated by LifeSciCore Pte. Ltd. (UEN: 202613200G), a Singapore-registered company located at 60 Paya Lebar Road, #06-28, Paya Lebar Square, Singapore 409051 ("RegSeek", "LifeSciCore", "we", "us", or "our").

1. Acceptance of These Terms

By accessing or using RegSeek, submitting an early access request, creating an account, using the Services, making a payment, or receiving a payout, you agree to these Terms.

If you use RegSeek on behalf of a company, firm, employer, consultancy, or other organisation, you represent that you have authority to accept these Terms on its behalf. In that case, "you" includes both you personally and that organisation.

If you do not agree to these Terms, you must not use RegSeek.

Separate written agreements, order forms, statements of work, confidentiality agreements, data processing agreements, or service-specific terms may apply to particular customers, products, or projects. If a separate written agreement expressly accepted by RegSeek conflicts with these Terms, the separate agreement controls only for that conflict.

2. Eligibility and Professional Use

RegSeek is intended for business and professional use only. You must be at least 18 years old to use the Services.

You are responsible for ensuring that your use of RegSeek complies with all laws, regulations, professional rules, employer policies, confidentiality duties, procurement rules, anti-bribery rules, sanctions restrictions, and other obligations that apply to you.

3. The Services

RegSeek helps business and professional users source, assess, connect with, and manage external regulatory affairs expertise and related services.

Features may vary by role, account status, verification status, geography, plan, service type, early access cohort, or approval status. We may add, change, suspend, or discontinue any feature, product, workflow, price, or eligibility requirement from time to time.

RegSeek may operate as a limited early access or beta service. Early access is gated, subject to review, and may be revoked or limited at our discretion. Beta features may be experimental, incomplete, interrupted, inaccurate, or changed without notice.

4. Accounts and Access

You must provide accurate, current, and complete account, company, profile, billing, tax, payment, payout, credential, qualification, availability, conflict, and service information when requested.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us promptly if you believe your account has been compromised.

We may require email confirmation, early access approval, screening, review, verification, payment verification, or additional checks before allowing access to particular features.

We may refuse, suspend, revoke, limit, or condition access if we believe there is inaccurate information, risk, misuse, non-payment, attempted circumvention, confidentiality concerns, security concerns, legal concerns, compliance concerns, or breach of these Terms.

5. User Responsibilities

You are responsible for the accuracy, legality, and appropriateness of information, requests, proposals, responses, messages, documents, profile content, and other materials you submit through RegSeek.

You must not request, provide, upload, or disclose unlawful content, confidential third-party information, competitor secrets, patient-identifiable data, information you are not permitted to disclose, or services that would cause anyone to breach professional, employment, confidentiality, regulatory, or legal obligations.

If you provide services or expertise through RegSeek, you must provide accurate information about your identity, credentials, experience, availability, restrictions, conflicts, employer obligations, and service capabilities. You must perform services professionally, lawfully, within your competence, and within any agreed scope.

If you request or purchase services through RegSeek, you are responsible for evaluating the qualifications, suitability, availability, conflicts, pricing, deliverables, advice, and performance of any provider or expert before relying on or engaging them.

Users who provide services or expertise through RegSeek are independent from RegSeek. They are not employees, agents, partners, representatives, or joint venturers of RegSeek unless a separate written agreement expressly states otherwise.

6. No Professional Advice by RegSeek

RegSeek does not itself provide legal, medical, clinical, regulatory, quality, compliance, tax, or other professional advice.

Any platform content, matching support, moderation activity, AI-assisted output, administrative assistance, or service coordination provided by RegSeek is operational support only. It is not professional advice from RegSeek.

Providers and experts are independently responsible for their own advice, statements, deliverables, omissions, and professional services. Buyers and other service recipients remain responsible for independent review, validation, regulatory submissions, business decisions, product decisions, and reliance on any provider or expert input.

7. Confidentiality and Controlled Disclosure

RegSeek is built around trust and controlled disclosure. You may receive or access confidential information through RegSeek, including non-public company information, project information, product information, regulatory strategies, documents, messages, pricing, payment information, provider information, platform features, and other non-public information.

You must protect confidential information with reasonable care, use it only for permitted RegSeek purposes, and not disclose it except as allowed by these Terms, the relevant workflow, or a separate written agreement.

You must not attempt to identify, deanonymise, scrape, infer, bypass, reveal, or contact other users outside approved RegSeek workflows or in a manner intended to avoid RegSeek controls or fees.

You must not include contact details, personal identifiers, company identifiers, external scheduling links, payment links, direct contact invitations, or other information intended to bypass RegSeek in areas where disclosure is not permitted.

Confidentiality obligations do not apply to information that is already public through no breach by you, independently developed without use of the confidential information, lawfully received from a third party without confidentiality restrictions, or required to be disclosed by law.

Separate NDAs or confidentiality agreements may supplement or override this section where applicable.

8. Anti-Circumvention

You must not bypass, avoid, or attempt to avoid RegSeek fees, payment workflows, service workflows, contact controls, disclosure controls, or other platform rules.

Unless RegSeek approves otherwise in writing, you must not use information obtained through RegSeek to contact, engage, pay, solicit, hire, contract with, or provide services to another RegSeek user outside approved RegSeek workflows before permitted disclosure or in a manner intended to avoid RegSeek fees.

This restriction applies during your use of RegSeek and for 12 months after the relevant introduction, discovery, communication, service assignment, or other RegSeek-facilitated connection.

If you breach this section, RegSeek may suspend or terminate your account, remove you from the platform, withhold or offset amounts where permitted, charge avoided fees, and pursue other available remedies.

9. Direct Relationships Between Users

Unless a separate written agreement says otherwise, contracts for project work or professional services between users are direct between those users. RegSeek may facilitate discovery, communication, payments, administration, or related workflows, but RegSeek is not automatically a party to user-to-user service contracts.

Users are responsible for negotiating and performing their own scope, fees, deliverables, timelines, confidentiality terms, procurement requirements, regulatory obligations, payment terms, and compliance obligations for direct engagements.

10. Payments, Refunds, Taxes, and Payouts

RegSeek may charge fees for paid products, services, access, subscriptions, administration, and related workflows. Prices, currencies, taxes, invoice details, feature entitlements, and billing methods may vary by product, plan, country, customer, or written agreement.

You are responsible for providing accurate billing, tax, invoice, payment, and payout information. Unless RegSeek expressly states otherwise, you are responsible for applicable taxes, GST, VAT, withholding, bank fees, payment processor fees, and similar charges associated with your use of the Services.

Payments may be processed through third-party payment providers. Payment processor or payout provider terms may apply.

Refunds are limited. Certain advisory products may be refundable if RegSeek cannot match or assign a suitable provider or expert. Other paid products are generally non-refundable once payment is completed or the paid workflow has started, except where required by law, expressly agreed in writing, or approved by RegSeek in its discretion.

Dissatisfaction with independent provider or expert advice, a decision not to proceed with a provider, provider availability after permitted disclosure, or a direct user-to-user contract dispute does not automatically create a refund right.

If you believe a payment was made in error, contact us promptly at contact@regseek.com. Chargebacks, payment disputes, failed payments, refunds, or suspected fraudulent payments may result in suspension of access, delayed service delivery, delayed payouts, account review, or offset where permitted.

Provider or expert earnings and payouts may be subject to service completion, buyer confirmation, clearing periods, admin review, disputes, refunds, chargebacks, compliance review, payment provider requirements, or accurate payout information. RegSeek may withhold, delay, offset, reverse, or decline payouts where reasonably necessary or legally required.

11. User Content

"User Content" means information, text, documents, files, messages, profile content, requests, proposals, responses, feedback, ratings, attachments, credentials, company information, project information, and other materials submitted, uploaded, transmitted, or provided through RegSeek.

You retain ownership of your User Content. You grant RegSeek a worldwide, non-exclusive, royalty-free licence to host, store, process, display, transmit, redact, moderate, summarise, analyse, and otherwise use User Content as needed to operate, secure, support, improve, and provide the Services.

You represent that you have all rights and permissions needed to submit your User Content and that your User Content does not violate confidentiality, privacy, intellectual property, employment, professional, regulatory, or legal obligations.

12. Prohibited Data

RegSeek is not designed to collect or process patient-identifiable health data, protected health information, medical records, clinical subject data, or patient-level data. You must not upload, submit, request, or disclose patient-identifiable data through the Services.

You must not upload or submit special-category or sensitive personal data, government identity documents, sanctions/KYC documents, criminal records, biometric data, export-controlled materials, sanctions-restricted content, or third-party confidential information unless RegSeek has expressly authorised that category of data and appropriate safeguards are in place.

If prohibited or unsupported data is submitted, RegSeek may delete, redact, restrict, block, or require removal of that data.

13. Privacy

Our handling of personal data is described in our Privacy Policy. Privacy requests should be sent to privacy@regseek.com.

You must not submit personal data unless you have the right to do so. Company users are responsible for providing any required notices and obtaining any required permissions for colleagues, invitees, billing contacts, and other individuals whose personal data they provide.

14. AI, Automation, and Review

RegSeek may use AI, automation, and human review to support content review, redaction, moderation, summaries, matching support, profile quality, security, trust and safety, and service operations.

AI-assisted outputs may be incomplete, inaccurate, or require human review. You must not rely on AI-generated or AI-assisted content as professional advice from RegSeek.

We may block, edit, redact, hide, remove, or route content for review where identity, contact, confidentiality, safety, quality, payment, security, legal, or policy issues are detected.

15. Acceptable Use

You must not:

  • use RegSeek for unlawful, misleading, harmful, infringing, discriminatory, harassing, abusive, spam, or fraudulent activity;
  • scrape, crawl, harvest, reverse engineer, copy, resell, or create derivative datasets from RegSeek except as expressly permitted;
  • test, probe, bypass, or interfere with security, access controls, privacy rules, disclosure controls, moderation, payments, or permissions;
  • share credentials or allow unauthorised access to your account;
  • upload malware or interfere with the operation of RegSeek;
  • seek or provide inside information, competitor confidential information, third-party confidential information, improper influence, bribes, kickbacks, or advice outside professional competence;
  • bypass RegSeek payment, contact, matching, disclosure, or payout workflows;
  • misrepresent credentials, experience, conflicts, employer permissions, availability, identity, company affiliation, or payment information; or
  • use RegSeek in a way that creates legal, regulatory, professional, security, privacy, confidentiality, or reputational risk for RegSeek or other users.

16. Third-Party Services

RegSeek may use third-party services for hosting, authentication, email, payments, invoices, AI processing, file storage, support, security, analytics, and payout administration. Third-party terms and privacy policies may apply.

RegSeek is not responsible for third-party websites, tools, payment processors, payout providers, or external links outside our control.

17. Intellectual Property

RegSeek and LifeSciCore own the Services, website, app, software, workflows, interfaces, designs, brand, logos, documentation, and non-user content.

You may use the Services only as permitted by these Terms. You must not copy, modify, resell, reverse engineer, scrape, or exploit the Services except as expressly permitted by RegSeek.

If you provide feedback, suggestions, ideas, or comments, you allow RegSeek to use them without restriction or compensation, subject to our confidentiality and privacy obligations.

18. Service Availability, Security, and Support

We aim to operate RegSeek responsibly, but we do not guarantee uninterrupted, error-free, or fully secure Services.

You are responsible for protecting your credentials, limiting uploaded confidential data to what is necessary, and notifying us promptly of suspected account compromise or security issues.

19. Suspension and Termination

We may suspend, terminate, restrict, or condition your account or access to any feature if we believe you have breached these Terms, failed to pay amounts due, provided inaccurate information, created legal or compliance risk, attempted circumvention, breached confidentiality, misused the Services, or created security, payment, marketplace, or professional risk.

You may stop using RegSeek or request account closure, subject to surviving obligations, payment obligations, confidentiality obligations, record retention, ongoing workflows, disputes, legal requirements, and legitimate business needs.

Sections that by their nature should survive termination will survive, including confidentiality, anti-circumvention, payment obligations, payout adjustments, intellectual property, disclaimers, limitation of liability, indemnity, dispute resolution, and general terms.

20. Disclaimers

The Services are provided "as is" and "as available" to the maximum extent permitted by law.

RegSeek does not guarantee provider or expert suitability, availability, credentials, independence, quality, advice, deliverables, regulatory approvals, project success, payment success, uninterrupted access, marketplace liquidity, AI accuracy, moderation accuracy, matching accuracy, or business outcomes.

You remain responsible for independent review, professional judgment, regulatory decisions, business decisions, and compliance with applicable obligations.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

21. Limitation of Liability

To the maximum extent permitted by law, RegSeek and its directors, officers, employees, contractors, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or for lost profits, lost revenue, lost business, lost opportunity, lost data, regulatory delay, reputational harm, reliance losses, or business interruption.

To the maximum extent permitted by law, RegSeek's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the amount you paid to RegSeek for the specific Service giving rise to the claim during the 12 months before the event giving rise to liability.

For free, beta, early-access, trial, or unpaid use, RegSeek will not have monetary liability except to the extent liability cannot legally be excluded.

The above limitations apply regardless of legal theory, whether contract, tort, negligence, strict liability, statute, or otherwise, and even if a remedy fails its essential purpose, to the extent permitted by law.

22. Indemnity

You agree to indemnify, defend, and hold harmless RegSeek, LifeSciCore, and their directors, officers, employees, contractors, service providers, and affiliates from and against claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from or related to your User Content, your use or misuse of the Services, your breach of these Terms, your breach of confidentiality, privacy, employment, professional, regulatory, payment, tax, or legal obligations, your services or advice, your direct contract with another user, your infringement of third-party rights, your payment disputes, or your unauthorised disclosures.

23. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to conflict of law rules.

Before starting formal proceedings, the parties will attempt to resolve disputes through good-faith support and business escalation. If unresolved, the parties will escalate the dispute to senior representatives for good-faith negotiation for at least 30 days, unless urgent injunctive or equitable relief is needed.

If the dispute is still unresolved after that process, the parties submit to the exclusive jurisdiction of the Singapore courts, unless a separate written agreement provides for arbitration or another forum.

Nothing prevents either party from seeking urgent injunctive or equitable relief for confidentiality, intellectual property, security, privacy, payment, or anti-circumvention issues.

24. Notices and Communications

You consent to receive transactional and service communications by email, in-app notice, or other contact details you provide. These may include account, verification, invitation, message, payment, invoice, payout, password reset, support, security, legal, and policy notices.

Marketing or product update communications may be sent where permitted by law or where you have consented. You may opt out of marketing communications, but you may still receive transactional, security, payment, and service communications.

Legal notices to RegSeek should be sent to contact@regseek.com and to LifeSciCore Pte. Ltd., 60 Paya Lebar Road, #06-28, Paya Lebar Square, Singapore 409051, unless RegSeek designates another notice address.

25. General Terms

These Terms, together with any policies or service-specific terms referenced in them, are the entire agreement between you and RegSeek for the Services unless a separate written agreement applies.

You may not assign or transfer your rights or obligations without RegSeek's prior written consent. RegSeek may assign these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, or operation of the Services.

If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. Neither party is liable for delay or failure caused by events beyond reasonable control, except payment obligations.

The relationship between you and RegSeek is that of independent contracting parties. Nothing in these Terms creates a partnership, joint venture, employment, agency, or fiduciary relationship.
